These Terms of Use (“Terms”) govern your access to and use of CodeBake’s website, application, software, and related services (“Services”).

By creating an account or using the Services, you agree to be bound by these Terms.

If you do not agree, do not use CodeBake.

1. Who We Are

CodeBake (“we,” “our,” “us”) provides an AI-powered project management platform that automates task updates, summaries, and workflows based on real coding activity.

2. Eligibility & Registration

Minimum age

You must be at least 18 years old to use CodeBake.
If you are under 18, you must have permission from a parent or legal guardian.

Account information

You must provide accurate information when creating an account. You may not share your login credentials or allow others to use your account.

If you create an account on behalf of a company or team, you represent that you are authorized to do so.

3. Using CodeBake

You may use the Services only in compliance with these Terms and applicable laws.

You may use CodeBake to:

  • Create and manage projects
  • Generate tasks, summaries, and insights
  • Add team members
  • Upload content relevant to your workflows

You may not use CodeBake to:

  • Break the law or violate others’ rights
  • Upload harmful, abusive, or malicious content
  • Attempt to reverse engineer or copy the Services
  • Bypass rate limits, access controls, or security measures
  • Interfere with or disrupt the platform
  • Build competing models or services using CodeBake output
  • Automatically scrape or extract data without permission

We reserve the right to investigate violations or misuse.

4. Beta Access

During our beta period:

  • CodeBake may change frequently, including features, performance, and availability.
  • Data loss or service interruptions may occur.
  • Beta access may be limited or revoked at any time.

By participating in the beta, you understand that the platform is still evolving.

5. Your Content

You may submit information, tasks, descriptions, prompts, code references, or other materials (“Content”).

Ownership

  • You retain ownership of all Input you provide.
  • You own the Output produced for you by the Services to the extent allowed by law.

Your responsibilities

You are responsible for ensuring that:

  • You have rights to the Content you upload
  • Your Content does not violate laws or third-party rights

Our use of Content

We may use Content to:

  • Provide, maintain, and improve the Services
  • Detect fraud or abuse
  • Ensure platform stability
  • Comply with legal requirements

We do not sell your Content.

Opt-out (model training)

If we introduce model training that uses user content, you will have the ability to opt out.

6. Third-Party Services

CodeBake may integrate with tools such as GitHub, GitLab, or MCP-compatible agents.
Third-party services are governed by their own terms, and we are not responsible for them.

7. Intellectual Property

All rights in CodeBake—including code, interfaces, branding, design, and features—belong to us or our licensors.

You may not use our name or logo without permission.

8. Billing & Subscriptions (when applicable)

During beta, CodeBake is free to use.

Once paid plans launch:

Billing

You must provide accurate payment information. Subscriptions renew automatically unless canceled.

Pricing Changes

We may update pricing with at least 30 days’ notice before your next renewal.

Cancellations

You may cancel your subscription at any time. Payments are generally non-refundable unless required by law.

9. Termination & Suspension

You may stop using CodeBake at any time.

We may suspend or terminate your account if:

  • You violate these Terms
  • You misuse the Services
  • It is required to comply with law
  • Your account is inactive for more than 12 months (unless paid)

10. Service Changes & Discontinuation

We may update, modify, or discontinue the Services at any time.
If we discontinue the Services entirely, we will provide advance notice and refund any prepaid unused fees.

11. Disclaimer of Warranties

CodeBake is provided “AS IS” and “AS AVAILABLE.”

To the fullest extent permitted by law, we disclaim all warranties, including:

  • Merchantability
  • Fitness for a particular purpose
  • Accuracy, reliability, or completeness of output
  • Non-infringement
  • Continuous or error-free availability

You understand that AI-generated output may be inaccurate or incomplete and should be reviewed by a human before relying on it.

12. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for any indirect, incidental, or consequential damages, including lost profits or data.
  • Our total liability for all claims will not exceed the greater of:
    • The amount you paid us in the last 12 months, or
    • $100 USD

Some jurisdictions do not allow certain limitations; in those cases, the minimum required rights apply.

13. Indemnification

If you are using CodeBake on behalf of a business, you agree to indemnify and hold us harmless from claims, damages, or losses arising from:

  • Your use of the Services
  • Your Content
  • Your violation of these Terms

14. Dispute Resolution & Arbitration

(Optional but recommended for founders; included here)

Informal Resolution

Before formal action, both parties agree to try resolving disputes informally by contacting hi@codebake.ai.

Arbitration Agreement

Any dispute arising from these Terms will be resolved through binding arbitration rather than court, except where prohibited by law or eligible for small-claims court.

Class Action Waiver

You agree that disputes will be handled only on an individual basis—not as a class action.

15. Copyright Complaints

If you believe your copyright has been infringed, contact:

Include:

  • Your signature
  • Description of the work
  • Location of the infringing material
  • Your contact information
  • A good-faith statement of unauthorized use

16. Miscellaneous

Assignment

You cannot transfer these Terms. We may assign them to an affiliate or successor.

Severability

If a part of these Terms is invalid, the rest remains in effect.

Trade Compliance

You must comply with applicable export laws and sanctions.

Entire Agreement

These Terms constitute the entire agreement between you and CodeBake regarding the Services.

Governing Law

These Terms are governed by the laws of the State of Florida.
Legal claims must be brought in courts located in Miami-Dade County unless arbitration applies.
